Amount of This Request: $15,000 Total Source of Funds: $3,000 Net of Reimbursement Airport Development Fund ACTION REQUESTED Request authorization for the Chief Executive Officer to execute an Operations and Maintenance Agreement with Sound Transit to establish responsibilities at the Airport Station at Seattle- Tacoma International Airport (Airport). SYNOPSIS Sound Transit"s Airport Link will be operational by the end of the year. Various operational and maintenance issues have been coordinated between Sound Transit and the Airport to implement the service at the Airport Station to/from the Airport terminal. Agreed-upon responsibilities will provide clarity in roles and obligations. BACKGROUND On April 11, 2006, the Commission approved the Second Reading and Final Passage of Resolution No. 3559, as Amended, to execute an Interlocal Agreement with Sound Transit to establish the real property, financial and construction arrangements for construction of the Airport Link Project at the Airport. Construction of Airport Link, including the Airport Station, is near completion and scheduled to be in operation no later than December 19, 2009. Operations and maintenance impacts of Sound Transit"s Link Light Rail system constructed on or over Port of Seattle (Port) property have been identified and agreement has been reached on responsibilities and procedures. Essentially, the Port will be financially responsible for operations and maintenance of Port assets, and Sound Transit will be financially responsible for operations and maintenance of Sound Transit assets. COMMISSION AGENDA Tay Yoshitani, Chief Executive Officer November 3, 2009 Page 2 of 3 Two cost transactions are identified in the Operations and Maintenance Agreement. First, Sound Transit has requested that the Airport provide reimbursable landscape maintenance services within their Light Rail Transit Way Easement. Second, Sound Transit will provide electrical service to the Airport"s pedestrian bridge, to be reimbursed by the Airport. Both items will be reimbursed based on actual costs, and will affect annual operating expense budgets. PROJECT DESCRIPTION/SCOPE OF WORK Project Statement: Execute an "Operations and Maintenance Agreement" between Sound Transit and the Port of Seattle. Project Objectives: Clarify responsibilities for assets and operational coordination. Scope of Work: Identify interface dependencies and collaborate to efficiently implement operations and maintenance. Document the negotiated agreement. The Airport will maintain its own large landscaped areas along the Airport-owned expressways. The Airport will also maintain Sound Transit"s smaller landscaped areas near its station, along the guideway, and at the traction power substation site on International Boulevard, and will be reimbursed by Sound Transit for that work. Sound Transit has nearby electrical power to serve the Airport pedestrian bridge between the station and garage. The Airport will reimburse Sound Transit for the actual cost of that power. STRATEGIC OBJECTIVES This effort supports the Port"s strategy to "Be a Catalyst for Regional Transportation Solutions." FINANCIAL IMPLICATIONS In current 2009 dollars, the estimated reimbursable landscape maintenance cost is $12,000/year including a 15% administrative fee, and the Airport electrical service cost is estimated at $3,000/year. The Airport will be incurring $15,000/year in new operating costs, of which $12,000 will be reimbursed. ENVIRONMENTAL SUSTAINABILITY/COMMUNITY BENEFITS The Airport is leveraging its infrastructure investments in collaboration and partnership with Sound Transit to ensure long-term effective public access that is key to the Airport's and the region's future success. Light rail service provides a transportation mode that is an environmental benefit to the region. COMMISSION AGENDA Tay Yoshitani, Chief Executive Officer November 3, 2009 Page 3 of 3 TRIPLE BOTTOM LINE SUMMARY Consolidating Sound Transit"s landscape maintenance scope with the Airport"s will provide cost efficiency, consistent quality, and minimize environmental impacts. PROJECT SCHEDULE Sound Transit"s Airport Link will be operational no later than December 19, 2009. Agreement term is five (5) years. ALTERNATIVES CONSIDERED/RECOMMENDED ACTION Sound Transit executes landscape maintenance in their Light Rail Transit Way Easement. This option is a slightly higher cost to Sound Transit, and would require coordination for consistent performance. This is not the recommended alternative. Airport provides electrical service to the Airport pedestrian bridge. This would require design and construction modifications, increasing the costs. This is not the recommended alternative. Provide reimbursable services for landscape maintenance in the Light Rail Transit Way Easement, and electrical power to the Airport pedestrian bridge. This is the recommended alternative. PREVIOUS COMMISSION ACTION On January 24, 2006, the Port of Seattle Commission approved First Reading of Resolution No. 3559 authorizing the Chief Executive Officer to execute an Interlocal Agreement with Sound Transit for the Airport Link Project. On April 11, 2006, the Port of Seattle Commission approved Second Reading and Final Passage of Resolution No. 3559, as Amended.
