Resolution No. 3628 

A Resolution    of the Port Commission of the Port of Seattle amending and restating 
Resolution No. 3605 as amended, which was enacted by the Port 
Commission on August 26, 2008. 

WHEREAS, Resolution No. 3605 as amended was adopted on August 26, 2008, in
response to recommendations by the State Auditor's Office; and 
WHEREAS, the resolution strengthened the Port Commission's relationship with the
Chief Executive Officer by elucidating his authority, the Port Commission's authority, and the
relationship between the Port Commission and the CEO; and 
WHEREAS, the implementation of this resolution has improved the transparency and
accountability of the Port Commission authorization process for major works contracting by
adding new procedures that clarified when and how the Chief Executive Officer obtains the
Commission's authorization of major Port construction projects; and 
WHEREAS, the Port Commission notes that the proposed amendments reflect the Port's
ongoing reform efforts to increase our efficiency and effectiveness as an organization; and 
WHEREAS, the amended Resolution No. 3605 set forth as Exhibit "A" to this
Resolution and incorporated by reference codify these amendments with respect to the role and
responsibilities of the Port Commission and the administrative authority of the Chief Executive
Officer and his/her designee; and 
WHEREAS, Resolution No. 3605 included a provision that it must be reviewed "in
twelve (12) to eighteen (18) months after it enters into force.;" and 
WHEREAS, this review has now been completed. 
NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of
Seattle as follows: 
1.  Proposed amendments to Resolution No. 3605, as amended, are attached hereto as 
Exhibit "A." 
2.  Resolution No. 3605 is hereby amended and restated as provided in Exhibit "B." 
ADOPTED by the Port Commission of the Port of Seattle at a regular meeting thereof, held
this ___________day of _________, 2009, and duly authenticated in open session by the
signatures of the Commissioners voting in favor thereof and the Seal of the Commission.
