VALLEY VIEW SEWER DISTRICT 
WARRANTY BILL OF SALE 
The PORT OF SEATTLE ("Owner") and VALLEY VIEW SEWER DISTICT
("District") are parties to a Developer Extension agreement dated October 23, 2013,
concerning the providing of sanitary sewer service by the District to the Owner. In
consideration of the right to connect to the sewer system of the District and other good and
valuable consideration, the receipt of which is hereby acknowledged, the Owner does grant,
sell, transfer and deliver to the District all right and title to the sewer facilities and
appurtenances (not including side sewers) described in Exhibit A, attached hereto and
incorporated herein by this reference (the "Sewer Lines"). 
The Owner warrants that it is the lawful owner of the Sewer Lines, that it has
complete right to convey the Sewer Lines to the District, and that the Sewer Lines are free
from all liens or encumbrances. The Owner shall hold harmless and indemnify the district
from any claims and demands relating to the construction and installation of the Sewer Lines
and will promptly defend the right of the Owner to convey the Sewer Lines to the District
against the claims and demands of all persons. 
The Owner guarantees that the Sewer Lines have been constructed and installed in
accordance with conditions and standards of the District and the Developer Extension
agreement, are in proper working condition, order and repair and are adequate and fit for use
as a sewerage collection and transportation system. The Owner also guarantees that it will
(1) correct and repair any defects appearing or developing in the workmanship or materials
furnished in respect to the Sewer Lines within a period of one year after the date of 
acceptance of the Sewer Lines by the District, (2) correct and repair any improper
functioning or condition caused by or occurring within the Sewer Lines within a period of
one year after the date of acceptance of the Sewer Lines by the District, and (3) hold
harmless and indemnify the District from any damage and expense incurred by reason of
failure of such performance.
