RESOLUTION No. 3674 

A RESOLUTION  of the Port Commission of the Port of Seattle declaring certain
personal property surplus (Port of Seattle Cranes No. 65, 67, 80,
81, 82 and related spare parts) for the Port of Seattle purposes; 
authorizing its sale to Total Terminals International LLC; and
authorizing the Chief Executive Officer to execute all documents
related to such sale or disposal. 
WHEREAS, the Port of Seattle ("Port") has owned the personal property described as 
Paceco Cranes, S/Ns 1354 and 1472, P.O.S. No. 65 and 67, respectively and Zhenhua Port
Machinery Company (ZPMC) Cranes, S/Ns J101A-1, J101A-2 and J101A-3, P.O.S. No. 80, 81
and 82, respectively, and related spare parts; and 
WHEREAS, the Port Commission on December 11, 2012, authorized the sale of these
cranes and spare parts to Total Terminals International LLC ("TTI") pursuant to the terms of the
Thirteenth Amendment to the TTI lease; and 
WHEREAS, The Thirteenth Amendment to the TTI lease was executed by the parties on
December 26, 2012; and 
WHEREAS, said property is no longer needed for its intended purpose, or other
purposes of the Port; and 
WHEREAS, pursuant to Section 53.08.090 of the Revised Code of Washington, the Port
Commission may declare surplus any personal property no longer needed for Port purposes and
authorize its sale or other disposal; 
NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of
Seattle as follows: 
Section 1: Paceco Cranes: S/N 1354, P.O.S. No. 65, and S/N 1354 1472, P.O.S. No. 67,
and ZPMC Cranes: S/N J101A-1, P.O.S. No. 80, J101A-2, P.O.S. No. 81, and J101A-3, P.O.S.
No. 82, and related spare parts, are no longer needed for Port purposes, and it is in the best
interest of the Port that said property be sold or disposed in accordance with the terms of the
Thirteenth Amendment to the Port's lease with TTI at Terminal 46. 
Section 2: As of November 30, 2012, the remaining net book value for the Paceco Crane
P.O.S No. 65 and 67 and ZPMC Crane P.O.S. No. 80, 81, 82, and related spare parts are
approximately:
