RESOLUTION NO. 3689 
A RESOLUTION  of the Port Commission of the Port of Seattle
amending Resolution No. 3611, as amended by
Resolution Nos. 3672 and 3673, the Seattle Port
Commission Bylaws, regarding duties and titles of
Commission officers and updating references to the 
Director of Commission Services. 
WHEREAS, the voters of King County authorized and approved the formation of
a Port District co-extensive with King County to be known as the Port of Seattle in a
special election on September 5, 1911; and 
WHEREAS, the Port of Seattle was thereupon established as a Port District and
has been since then and is now a duly authorized and acting Port District of the State of
Washington; and 
WHEREAS, the Seattle Port Commission is the legally constituted governing
body of the Port of Seattle; and 
WHEREAS, the Seattle Port Commission Bylaws adopted on March 24, 2009, in
Resolution No. 3611, and subsequently amended by Resolution No. 3672 on December 4,
2012, and Resolution No. 3673 on January 22, 2013, constitute the rules governing the
organization and transaction of business of the Commission; and 
WHEREAS, the Commission desires to make certain changes to its Bylaws
regarding organization of the Commission; 
NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port
of Seattle as follows: 
Section 1. 
In Article II, Section 1, Paragraph (M) and in Article II, Section 5, remove "Director of
Commission Services" and insert in lieu thereof: Commission Chief of Staff. 
Section 2. 
Article III, Section 2, is amended to read as follows: 
The Commission shall elect a President but not more than two Co-
Presidents and a Secretary from its own members. Additionally, aA Vice 
President and Assistant Secretary may be elected also, if desired. During

the temporary absence of any Commission officer, the officer next in line
shall temporarily assume the duties of the absent officer in an acting
capacity during the absence and in the following order:  President, Co-
President,  Vice  President,  Secretary,  and  Assistant  Secretary.   If  a
Commissioner's absence is lengthy or due to disability or the inability to
serve, the Commission may appoint the officer next in line to the position
held by the absent officer. 
Section 3. 
Article IV, Section 2, is amended to read as follows: 
2.       The Vice President shall, during the absence or disability of the
President or both Co-Presidents, exercise all the functions of the President
or Co-Presidents. In addition, the Vice President shall have such powers
and discharge such duties as may be assigned from time to time by the
Commission. 
Section 4. 
In Article II, Sections 2, 3, 4, and 5; in Article III, Sections 6 and 7; in Article IV, Section
1; in Article V, Section 2; in Article V, Section 6, Paragraph (B); in Article V, Section
10; and in the footnote to Article VI, Section 5, after "the President" insert the following:

ADOPTED by the Port Commission of the Port of Seattle at a duly noticed public
meeting thereof, held this _________ day of __________________, 2014, and duly
authenticated in open session by the signatures of the Commissioners voting in favor
thereof and the seal of the Commission.
