RESOLUTION NO. 3754 A RESOLUTION of the Port Commission of the Port of Seattle amending Resolution Nos. 3742 and 3744, regarding bylaws governing the organization and transaction of business of the Port of Seattle Commission. WHEREAS, the voters of King County authorized and approved the formation of a port district co-extensive with King County to be known as the Port of Seattle in a special election on September 5, 1911; and WHEREAS, the Port of Seattle Commission is the legally constituted governing body of the Port of Seattle; and WHEREAS, the commission deems it necessary to adjust the requirements of the bylaws relating to the roles of commission officers and conduct of officer elections; NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of Seattle as follows: Section 1. Article Ill, Section 6(a), related to succession of the vice president to the office of president,is repealed. And the following new subsection (c) is inserted to read as follows: As described in Section 4 above, in the physical absence of the president, the vice president temporarily shall assume all prescribed duties of the president under Article Ill, Section 5. Section 2. in Article lll, Section 2, after "shall elect a" insert "president," and delete "The vice president shall succeed to the office of president in the following calendar year at the expiration of his or her term as vice president." Section 3. In Article lll, Section 4(a), line 190, after "the officer next in line shall assume" delete "the" and insert the following: all prescribed Resolution No. 3754 Amendment of Commission Bylaws Page 10f 2 And in Section 4(b), line 195, after "vice president temporarily shall assume" delete "the duties of the president" and insert in lieu thereof: all prescribed duties of the president under Article Ill, Section 5 And in Section 4(c), line 198, after "secretary temporarily shall assume" delete "the duties of the vice president" and insert in lieu thereof: all prescribed duties of the vice president under Article ll, Section 6 And in Section 4(d), line 201, after "secretary temporarily shall assume" delete "the duties of the president" and insert in lieu thereof: all prescribed duties of the president under Article Ill, Section 5 ADOPTED by the Port Commission of the Port of Seattle at a duly noticed public meeting thereof, held this & day of ~TANUARY 2019, and , duly authenticated in open session by the signatures of the commissioners voting in favor thereof and the seal of the commission.
