RESOLUTION NO. 3612 A RESOLUTION of the Port Commission of the Port of Seattle declaring surplus and no longer needed for Port District purposes certain personal property, including eight (8) x-ray machines, seven (7) explosive trace detection machines and seventeen (17) walk-through detectors (collectively "Property"); and authorizing the Airport Operations Director and Airport Operations Senior Manager to execute all documents necessary for transfer of the Property to the Transportation Security Administration ("TSA") for adequate consideration, including payment of one dollar per unit of equipment and the assumption of costs and liabilities associated with maintaining and disposing of the Property. WHEREAS, the Port of Seattle is a duly authorized and acting port district of the State of Washington and operator of Seattle-Tacoma International Airport ("Airport"); and WHEREAS, the Port of Seattle owns certain personal property, described on attached Exhibit A (the "Property"), which can be generally characterized as passenger security checkpoint equipment; and WHEREAS, the Port purchased the Property in May 2002 to meet the needs of the expanded passenger security checkpoints at the Airport; and WHEREAS, the original combined purchase price for all the equipment was $694,555, but after depreciation over a seven-year period, the current book value of the Property is approximately $100,000; and WHEREAS, at the time of the Port's purchase of the Property, the operation of the checkpoints was the responsibility of air carriers, subsequent to the Port's purchase of the 1 Property, the Transportation Security Administration ("TSA") assumed responsibility for operating the checkpoints as well as providing and maintaining all checkpoint equipment; and WHEREAS, TSA recently notified the Port that under TSA's new contract for maintenance of security checkpoint equipment, TSA's subcontractor will only perform maintenance on equipment owned by TSA; and WHEREAS, if the equipment is not transferred to TSA, the Port will incur the additional expense of engaging a company to maintain the Property separate from TSA- owned security checkpoint equipment and will bear the cost of removing and disposing of the equipment when it becomes obsolete; and WHEREAS, in 2009, TSA plans to replace all security checkpoint equipment under its national Checkpoint Evolution program; and WHEREAS, under RCW 53.08.090, a port district may sell and convey any of its real or personal property valued in excess of ten thousand dollars when the Port Commission has, by resolution, declared the property to be no longer needed for district purposes; and WHEREAS, under Chapter 39.33 RCW, the Port "may sell, transfer, exchange, lease or otherwise dispose of any property, real or personal, to the state or any municipality or any political subdivision thereof, or the federal government, on such terms and conditions as may be mutually agreed upon by the proper authorities of the state and/or the subdivisions concerned"; and 2 WHEREAS, under RCW 39.33.020, the intergovernmental disposition of surplus property that has an estimated value of more than fifty thousand dollars requires a public hearing; and WHEREAS, the Port of Seattle Commission has heard from all persons desiring to speak at said public hearing with regard to the proposed property transfer; and WHEREAS, the members of the Port of Seattle Commission have discussed and considered the proposed property transfer in light of all comments by members of the public at the public hearing; and NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of Seattle that: Section 1. The Property described on Exhibit A attached to this Resolution is no longer needed for Port purposes and is declared surplus to Port needs. Section 2. The Chief Executive Officer is authorized to take all steps and execute all documents necessary to transfer the Property to TSA for adequate consideration, including payment of one dollar per unit of equipment and the assumption of liabilities and costs associated with maintaining and disposing of the Property. 3 ADOPTED by the Port Commission of the Port of Seattle at a regular meeting thereof, held this ____day of _______, 2009 and duly authenticated in open session by the signatures of the Commissioners voting in favor thereof and the seal of the Commission.
