1 RESOLUTION NO. 3744 2 3 A RESOLUTION of the Port Commission of the Port of Seattle amending 4 Resolution No. 3742, regarding bylaws governing the 5 organization and transaction of business of the Port of 6 Seattle Commission. 7 8 WHEREAS, the voters of King County authorized and approved the formation of a port 9 district co-extensive with King County to be known as the Port of Seattle in a special election 10 on September 5, 1911; and 11 12 WHEREAS, the Port of Seattle Commission is the legally constituted governing body of 13 the Port of Seattle; and 14 15 WHEREAS, the commission adopted new bylaws governing the organization and 16 transaction of business of the Port of Seattle Commission on December 19, 2017; and 17 18 WHEREAS, the commission now deems it necessary to adjust the requirements of the 19 bylaws relating to the roles of commission officers; 20 21 NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of Seattle as 22 follows: 23 24 Section 1. 25 26 Article III, Section 6(b), of the Port of Seattle Commission Bylaws, which designates the 27 Commission Vice President to serve as chair of the Audit Committee, is hereby repealed. 28 29 Section 2. 30 31 Article II, Section 8, of the Port of Seattle Commission Bylaws relating to service on the Audit 32 Committee is hereby amended as follows: 33 34 After "completion of their fourth year in office" insert the following: 35 36 The audit committee participates directly in the oversight and review of the performance of 37 the internal audit director in accordance with policy directives related to Port of Seattle salaries 38 and benefits. In consultation with the audit committee, the audit committee chair shall 39 contribute to the chief financial officer's performance review of the internal audit director.
