Box 1209 Seattle, Washington 98111 www.portseattle.org 206.787.3000 APPROVED MINUTES COMMISSION SPECIAL JOINT MEETING AUGUST 4, 2015 The Port of Seattle Commission met in a special joint meeting with the Port of Tacoma Commission Tuesday, August 4, 2015, in Council Chambers at Federal Way City Hall, Federal Way, Washington. Port of Seattle Commissioners Albro, Bowman, Bryant, and Gregoire were present. Commissioner Creighton was present after 10:15 a.m. Port of Tacoma Commissioners Bacon, Johnson, Marzano, Meyer, and Petrich were also present. CALL TO ORDER The meeting was called to order at 9:25 a.m. by Port of Seattle Commission Co-President Stephanie Bowman, who led the Flag Salute. WELCOME AND OVERVIEW City of Federal Way Mayor Jim Ferrell welcomed the meeting participants and commended the two Commissions for their commitment to work together in the interest of the region. Commissioners Bowman and Johnson made brief opening remarks. PUBLIC COMMENT Public comment was received from the following individual(s): Goodspaceguy, King County resident, regarding the importance of competition between the Ports of Seattle and Tacoma and his opposition to formation of a port alliance. Jordan Royer, Pacific Merchant Shipping Association, regarding competitive challenges and the value of cooperation between the two ports. Ralph Ibarra, President, Diverse America Network, regarding the opportunities for unique populations represented by formation of the Seaport Alliance and on promotion of inclusion for diverse populations. Susan Seuss, Tacoma-Pierce County Economic Development Board, in support of the two commissions' collaborative response to fierce competition and the importance of international trade to growth of jobs and innovation in the region. Fred Felleman, Northwest Consultant, Friends of the Earth, regarding the commissions' work to maintain living wage jobs and his concern that there is not sufficient environmental guidance built into the alliance to promote sustainable, long-term jobs. Steve Sewell, Maritime Sector Lead in the Governor's Office, regarding Governor Inslee's support for the seaport alliance. PORT COMMISSION JOINT MEETING MINUTES Page 2 of 4 TUESDAY, AUGUST 4, 2015 Gael Tarleton, Washington State Representative, 36th Legislative District, and former Port of Seattle Commissioner, in support of the efforts of both commissions to join together for the common good despite numerous obstacles. COMMISSIONER COMMENTS Commissioners and the Chief Executive Officers of both ports made brief comments reflecting on the significance of the actions to be taken during the joint meeting and inaugural Northwest Seaport Alliance meeting to follow. INTERLOCAL AGREEMENT BETWEEN THE PORTS OF SEATTLE AND TACOMA Amendment Without objection, the interlocal agreement was amended to correct a typographical error in Article I, to read that the contribution amount for each homeport would be $25.5 million, not $25.5 billion. The motion to approve the interlocal agreement, as amended, between the Ports of Seattle and Tacoma creating the Northwest Seaport Alliance carried by the following votes of each port commission: Port of Tacoma: Yeas Bacon, Johnson, Marzano, Meyer, Petrich (5) Port of Seattle: Yeas Albro, Bowman, Bryant, Creighton, Gregoire (5) PORT OF TACOMA RESOLUTION ADOPTING PORT DEVELOPMENT AUTHORITY CHARTER The motion to adopt Port of Tacoma Resolution No. 2015-03, establishing a Port Development Authority Charter to be known as the Northwest Seaport Alliance, carried by the following vote of the Port of Tacoma Commission: Yeas Bacon, Johnson, Marzano, Meyer, Petrich (5) PORT OF SEATTLE RESOLUTION ADOPTING PORT DEVELOPMENT AUTHORITY CHARTER The motion to suspend Port of Seattle Commission bylaws in order to take final action on Resolution No. 3711, establishing a Port Development Authority Charter to be known as the Northwest Seaport Alliance, on the same day it was introduced carried by the following required unanimous vote of all Port Commissioners: Yeas Albro, Bowman, Bryant, Creighton, Gregoire (5) PORT COMMISSION JOINT MEETING MINUTES Page 3 of 4 TUESDAY, AUGUST 4, 2015 The motion to adopt Port of Seattle Resolution No. 3711, establishing a Port Development Authority Charter to be known as the Northwest Seaport Alliance, carried by the following vote: Yeas Albro, Bowman, Bryant, Creighton, Gregoire (5) PORT OF TACOMA LICENSE AGREEMENT WITH THE NORTHWEST SEAPORT ALLIANCE The motion to execute a license agreement between the Port of Tacoma and the Northwest Seaport Alliance carried by the following vote: Yeas Bacon, Johnson, Marzano, Meyer, Petrich (5) PORT OF SEATTLE LICENSE AGREEMENT WITH THE NORTHWEST SEAPORT ALLIANCE It was noted that the purpose of the license agreement is to provide for management of port assets by the Seaport Alliance and that asset ownership remains with each homeport. The motion to execute a license agreement between the Port of Seattle and the Northwest Seaport Alliance carried by the following vote: Yeas Albro, Bowman, Bryant, Creighton, Gregoire (5) PORT OF SEATTLE INTERLOCAL AGREEMENT FOR SECONDMENT WITH THE NORTHWEST SEAPORT ALLIANCE It was noted that in the future, the Seaport Alliance would retain its own employees, but that secondment, or loaning, of certain employees to the Alliance is a transitional provision. The motion to approve an interlocal agreement between the Port of Seattle and the Northwest Seaport Alliance for secondment of Port of Seattle employees to the Northwest Seaport Alliance carried by the following vote: Yeas Albro, Bowman, Bryant, Creighton, Gregoire (5) PORT OF TACOMA INTERLOCAL AGREEMENT FOR SECONDMENT WITH THE NORTHWEST SEAPORT ALLIANCE The motion to approve an interlocal agreement between the Port of Tacoma and the Northwest Seaport Alliance for secondment of Port of Tacoma employees to the Northwest Seaport Alliance carried by the following vote: Yeas Bacon, Johnson, Marzano, Meyer, Petrich (5) NORTHWEST SEAPORT ALLIANCE BRANDING There was a presentation describing and demonstrating the corporate branding for the Northwest Seaport Alliance and explaining its background and rationale. A short promotional video was presented. PORT COMMISSION JOINT MEETING MINUTES Page 4 of 4 TUESDAY, AUGUST 4, 2015 ADJOURNMENT OF HOMEPORT MEETINGS There was no further business of either the Port of Seattle or the Port of Tacoma, and the homeport meetings adjourned at 10:41 a.m. to be immediately followed by a meeting of the Northwest Seaport Alliance.
