PORT OF SEATTLE MEMORANDUM COMMISSION AGENDA Item No. 6b ACTION ITEM Date of Meeting January 8, 2013 DATE: January 2, 2013 TO: Tay Yoshitani, Chief Executive Officer FROM: Mary Gin Kennedy, Director of Commission Services SUBJECT: Resolution No. 3673: First and Second Reading and Final Passage to Amend Article III, Section 4, of the Seattle Port Commission Bylaws related to Vacancies on the Commission ACTION REQUESTED: Request First and Second Reading and Final Passage of Resolution No. 3673: A Resolution of the Port Commission of the Port of Seattle amending Resolution No. 3611, as amended by Resolution No. 3672, the Seattle Port Commission Bylaws, regarding the appointment of an interim Port Commissioner in the event of a vacancy in the office of Port Commissioner. SYNOPSIS: The Commission will officially notice the resignation of Commissioner Gael Tarleton on January 10, 2013, although her resignation will not be effective until January 31, 2013. This resolution will amend Article III, Section 4, of the Commission Bylaws, which outlines the process for appointing a "qualified person" as an interim Commissioner to fill a vacant seat until the next general election. The Bylaws need to be brought up to date to reflect the appointment process the Commission plans to follow to appoint a successor to Commissioner Tarleton. The resolution will also extend the length of time from 60 days to 90 days, to accord with state law, during which time the Commission must make the appointment. If the Commission fails to appoint an interim Commissioner within 90 days, RCW 42.12.070(4) provides that the King County Council shall appoint appoint a "qualified person" to fill the vacancy. The Commission plans to approve First and Second Readings and Final Passage of this resolution at one meeting. PREVIOUS COMMISSION ACTIONS OR BRIEFINGS: None.
