RESOLUTION NO. 3656 A RESOLUTION of the Port Commission ofthe Port of Seattle declaring certain real property, the water mains and appurtenances located at: 2585 S 194th St, SeaTac, WA and 2645 S 194th St, SeaTac, WA, the water mains and appurtenances located within the public right of way on S 160th St, SeaTac, WA, and on Port property on Host Road, SeaTac, WA to be surplus and no longer needed for Port District purposes and authorizing the Chief Executive Ofcer to execute all documents necessary for transfer of the title of these water mains and appurtenances to the Highline Water District. WHEREAS, the Off Site Roadway Improvements, Bus Maintenance Facility and Consolidated Aviation Warehouse projects all required the extension, relocation and/or modication of the Highline Water District ("District") water main and appurtenances; and WHEREAS, in February 12, 2008, the Port of Seattle Commission authorized the Chief Executive Ofcer to enter into an Interlocal Agreement with Highline Water District regarding the provision of water service in the Airport area, and for the transfer of title to water system improvements located on certain Port property and for the granting ofpermanent easements to access the water system improvements for the Off- Site Roadway Improvements, Bus Maintenance Facility and Consolidated Aviation Warehouse projects to Highline Water District; and WHEREAS, the Off-Site Roadway Improvements project relocated a Highline Water District water main and appurtenances located on Port property on the north side of South 160th Street; and WHEREAS, pursuant to the terms of the Interlocal Agreement, the title to the water system improvements and a permanent easement for access to the water system improvements for the Off-Site Roadway Improvements project is to be transferred to the District; and WHEREAS, on February 23, 2010, the Port of Seattle Commission authorized the Chief Executive Ofcer to execute a Developer Extension Contract, and supporting Bill of Sale with the Highline Water District in support of the Consolidated Aviation Warehouse project; and WHEREAS, in March 2010, the Chief Executive Ofcer executed both the Developer Extension Contract and the Bill of Sale for conveyance of the water main and appurtenances for the Consolidated Aviation Warehouse project to the District; and WHEREAS, on May 18, 2010, the Port of Seattle Commission authorized the Chief Executive Ofcer to execute a Developer Extension Contract, and supporting Bill of Sale, Right of Entry and easement documents, with the Highline Water District in support of the Bus Maintenance Facility project; and WHEREAS, Chapter 39.33 ofthe Revised Code of Washington provides that the Port may "sell, transfer, exchange, lease or otherwise dispose of any property to the state or any municipality or any political subdivision thereof on such terms and conditions as may be mutually agreed upon ..."; and WHEREAS, the previous Commission actions authorizing the conveyance of the ownership ofthe water mains and appurtenances to the District for the Consolidated Aviation Warehouse and the Bus Maintenance Facility need to be ratied because these previous authorizations did not declare the water mains and appurtenances to be surplus property that is no longer needed for port district purposes; and WHEREAS, the water mains and appurtenances for the Off Site Roadway Improvements, Bus Maintenance Facility and Consolidated Aviation Warehouse projects are located on the real property ("Property") described on attached Exhibit A; and WHEREAS, the water mains and appurtenances located on the Property and described in Exhibit A are no longer needed by the Port and can be declared surplus; and WHEREAS, the estimated fair market value of the water main and appurtenances for the Off-Site Roadway Improvement project is $120,000, the estimated fair market value of the water main and appurtenances for the Bus Maintenance Facility is $198,000, and the estimated fair market value of the water main and appurtenances for the Consolidated Aviation Warehouse is $110,000, for a total of $428,000 for the water mains and appurtenances for all three facilities. NOW, THEREFORE, BE IT RESOLVED by the Port Commission ofthe Port of Seattle that: Section 1. The water mains and appurtenances located on the Property described on Exhibit A attached to this Resolution is no longer needed for Port purposes and is declared surplus. Section 2. Pursuant to Chap. 39.33 RCW, the Chief Executive Ofcer is authorized to take all steps and execute all documents necessary to transfer the water mains and appurtenances located on the Property to the District. The water mains and appurtenances located on the Property for the Bus Maintenance Facility, the Consolidated Aviation Warehouse and the OffSite Roadway Improvement projects have an estimated fair market value of $428,000.
