11                                              TEXT OF THE MOTION

13    The Port of Seattle Commission herby appoints and confirms Christina Gehrke to serve a three-
14    year term as a public member on the commission's Audit Committee effective immediately and
15    ending December 31, 2022.

17                                     STATEMENT IN SUPPORT OF THE MOTION

19    In accordance with Article V, Section 1, of the Port of Seattle Commission Bylaws, the commission
20    may from time to time establish standing or special committees as needed for the transaction of
21    business. The Audit Committee is a currently constituted standing committee under these
22    provisions the purpose of which is to represent the commission and exercise review and
23    oversight on matters relating to Port of Seattle auditing processes and procedures.

25    The Audit Committee is composed of two port commissioners and one non-commissioner, who
26    participates as an independent public member with the accounting and auditing qualifications
27    described in the charter of the committee. The public member is appointed and confirmed by
28    the port commission and serves in an advisory capacity for a three-year term as described in the
29    committee charter. The position is a valuable addition to the sessions of the Audit Committee,
30    and is a voluntary public service on the part of public member.

32    Since 2011, the Commission has enjoyed the service of Christina Gehrke as its Audit Committee
33    public member. Ms. Gehrke is a highly experienced auditor, having served at the Federal Home
34    Loan Bank as Senior Vice President and Chief Administrative Officer for eight years, managing the
35    bank's Sarbanes-Oxleycompliance program and audit services. She is currently the Senior VP,
36    CAO for Sound Community Bank and Principal Faculty for City University of Seattle, teaching
37    courses in auditing, accounting, and finance at graduate and undergraduate levels.

39    She  has  provided  invaluable  expertise  to  the  Audit  Committee  and  has  contributed  to
40    strengthening its role at the Port of Seattle. Ms. Gehrke has indicated her interest in continuing
41    to participate on the Audit Committee for a fourth three-year term, ending December 31, 2022.
42    The commission is pleased to avail itself of her services.
