COMMISSION SPECIAL JOINT MEETING APRIL 21, 2015 
The Port of Seattle Commission met in a special joint meeting with the Port of Tacoma
Commission Tuesday, April 21, 2015, in Commission Chambers at Port of Seattle Headquarters,
Pier 69, 2711 Alaskan Way, Seattle, Washington. Port of Seattle Commissioners Bowman, Bryant,
and Gregoire were present. Port of Tacoma Commissioners Bacon, Johnson, and Marzano were
also present. Port of Seattle Commissioners Creighton (attending to other Port business) and Albro
did not attend. Port of Tacoma Commissioners Meyer and Petrich did not attend. 
CALL TO ORDER 
The meeting was called to order at 10:06 a.m. by Port of Seattle Commission Co-President
Stephanie Bowman, who led the Flag Salute.

OPENING REMARKS 
The passage and signing into law of port development authority legislation in the Washington
Legislature and its implications for formation of the Seaport Alliance was discussed, including
public comment periods and next steps. 
An update on the status of container shipping following resolution of the labor dispute between the
ILWU and Pacific Maritime Association was provided. It was reported that a trip to Eastern
Washington is planned, after which better information on export recovery would be available.
Representatives of ILWU locals in both Seattle and Tacoma will participate in the Eastern
Washington trip. 
Commissioners commented on priorities for conversation with exporters and opined on post-labordispute
efficiency levels for cargo throughput.

Public comment was received from the following individual(s): 
Zarna Joshi, Seattle, regarding opposition to Arctic oil drilling and interim use of
Terminal 5 by Foss Maritime.

PORT DEVELOPMENT AUTHORITY CONCEPTS 
There was a presentation on background related to the Federal Maritime Commission and the
discussion agreement filing process. Specific needed actions were summarized. 
Commissioners requested clarification and provided direction on use of terms and preparation for
required actions. 
The options for the legal instrument used to form a Seaport Alliance were outlined. The process by
which Port Development Authority (PDA) legislation was proposed and ultimately passed in the
Washington Legislature was summarized. The benefits and characteristics of a PDA were listed. It
was noted that PDAs cannot levy taxes or acquire property by eminent domain. 
In response to Commissioners, the membership structure for the PDA was  described  and
Commissioners provided direction for drafting the Alliance charter. Statutory and self-imposed
policy limitations of the PDA and the criteria for its dissolution were discussed. Commissioners
provided direction relative to the funding structure of the Alliance and opined on indebtedness of
one port to the other and needs for structural flexibility over time. Public meetings and voting
requirements were noted and selection of an Alliance CEO was described. Commissioners
provided direction on the treatment of CEO provisions in Alliance foundational documents.

ADJOURNMENT 
Port of Seattle Commissioner Bryant was absent after 10:55 a.m. and Commissioners Gregoire
was absent after 11:12 a.m. The remaining Commissioner(s) continued to participate in the
meeting, which proceeded according to the agenda, and was adjourned at 11:55 a.m. A recording
