Item Number: 6a_Res_ Meeting Date: April 14, 2015 Draft Resolution No. 3704 A Resolution of the Port of Seattle Commission repealing portions of Resolution No. 3605, as amended, and adopting the General Delegation of Authority from the Port Commission to the Chief Executive Officer. WHEREAS, the Washington State Legislature in 1911 authorized local voters to create publicly owned and managed port districts as independent government bodies run by directly elected port commissioners with powers to acquire and manage resources that promote trade and commerce; WHEREAS, Title 53 of the Revised Code of Washington ("RCW") sets forth the powers and responsibilities of port districts and Title 14, Chapters 14.07 and 14.08 RCW sets forth the powers and responsibilities of airport operators; WHEREAS, through a vote of the people, the citizens of King County created the Port of Seattle in 1911 as a public agency that today advances trade and commerce, promotes economic vitality, industrial growth and tourism, and creates jobs that provide a sustainable quality of life for the people of King County; WHEREAS, the Port of Seattle is critical to the success of Washington's economy and its competitiveness as the most trade-dependent state in the country; WHEREAS, the Port of Seattle Commission is the legally constituted and publicly elected executive governing body of the Port of Seattle; WHEREAS, the Port of Seattle Commission leads through the principle that "public service is a public trust," and promotes accountability, transparency, and public confidence by its actions; WHEREAS, the Port Commission has ultimate responsibility for all Port operations, activities, initiatives, and relationships; WHEREAS, Chapter 53.12 RCW authorizes the Port Commission to delegate powers and responsibilities to a managing official of the Port District as the Port Commission determines; WHEREAS, this resolution provides the managing official, designated by the Port Commission as the Chief Executive Officer (CEO), with the powers and responsibilities for day-to-day management and administration of the Port; 1 WHEREAS, this resolution adopts the General Delegation of Authority ("General Delegation") that defines and updates the delegation of authority from the Port Commission to the CEO concerning a variety of operational matters; and WHEREAS, the adoption of this General Delegation will be followed by further policy guidance in the form of "Policy Directives" which will provide highlevel guidance about how the Port does its work. NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of Seattle as follows: 1. The General Delegation of Authority ("General Delegation") attached to this resolution as exhibit A is incorporated into and adopted as part of this resolution. 2. The following sections of Resolution No. 3605, as amended, are repealed: Preamble Section 1, Roles and Responsibilities of the CEO Section 11, Investment of Temporarily Idle Port Funds Section 12, Insurance Programs Section 13, Trade Development Programs Section 14, Issuance of Tariffs Section 15, Administration Rules and Regulations Section 17, Travel of Employees and Other Authorized Representatives of the Port Section 18, Sale of Personal Property Section 19, Working Funds APOPTED by the Port Commission of the Port of Seattle at a duly noticed meeting thereof, held this day of , 2015, and duly authenticated in open session by the signatures of the Commissioners voting in favor thereof and the seal of the Commission.
