A RESOLUTION  of the  Port Commission  of the  Port of Seattle  repealing
Resolution  No.  3678  and  setting  the  annual  salary
compensation of Port of Seattle Commissioners at twice
ON                                       the amount paid to members of the  legislature of the
State of Washington established by RCW 43.03.13.
O00             WHEREAS, the voters of King County authorized and approved the formation of a port
ps      district co-extensive with King County to be known as the Port of Seattle in a special election
on September 5, 1911; and

etWRNO             WHEREAS, the Port of Seattle is governed by five commissioners elected to four-year
eeA    terms of office  by the voters of King County and. whose  mission is to promote economic
emWB    opportunities and quality of life in the region bysadvancing trade, travel, commerce, and job
em      creation in an equitable, accountable, and environmentally responsible manner; and

eeWOOD             WHEREAS, the Port  of Seattle  is unique amongst most ports  in the  nation  in the
em      diversity of operations it manages that include both an airport and seaport, a grain terminal,

WNRFROC            cruise ship berths, four recreational  marinas,  Fishermen's Terminal,  industrial  lands,
parks, and is engaged in an expanding variety of economic development activities such as
workforce development, tourism, as well as 'a joint cargoterminal operating agreement with
RD      the Port of Tacoma known.asithe Northwest Seaport Alliance; and

IAAL             WHEREAS, ,.in a:representative democracy,  it is essential for elected officials to reflect
NNN      the full diversity of their constituency and that those citizens who choose elected office can
maintain the economic means.to participate while in office; and

WN               WHEREAS, as a matter of good governance and sound public policy, the Port of Seattle
O    Commission wishes to set .a  higher salary for Seattle  Port Commissioners to encourage
LLWINE    residents  of King County from  diverse  backgrounds to  seek election to the  Seattle  Port
Commission; and
WWDR             WHEREAS, the Port of Seattle Commission is the legally constituted governing body of
WL VON     the Port whose primary duties'are to establish policies that guide the Port's future, hire the
Executive Director to implement those policies, execute its fiduciary responsibilities in the
WWW      oversight of the expenditure of public funds, and to annually determine the amount of tax levy
will be assessed on properties in King County; and
RB=O              WHEREAS, Port of Seattle Commissioners are responsible to the voters in protecting
the public's interests and resources, unlike a corporate board accountable to shareholders;

45           WHEREAS, the Century Agenda established  in 2012, envisions extensive outreach
46    across King County by Seattle Port Commissioners to other regional government officials,
47    industry and union stakeholders, educational institutions and community organizations; and

49          WHEREAS, the role of Port of Seattle Commissioners has expanded considerably since
50    the adoption of the Century Agenda and the passage of Resolution No. 3678 in 2013 setting
51    the salary of Port Commissioner to that of the legislator in the State of Washington; and
52
33           WHEREAS, the creation of the Northwest Seaport Alliance'in 2015; the nation's first
54    joint port development authority, established a unique marine cargo operating partnership
55    with the Ports of Seattle and Tacoma in which the five Commissioners from each Port hire and
56    oversee an independent executive thereby creating significantly expanded oversight duties of
57    investments and operations in both Seattle and Tacoma harbors;'and
58
59           WHEREAS, additional Commission responsibilities include assuring the implementation
60    of significant new policy directives passed  by the Commission to include much greater
61    emphasis on equity,  diversity and  inclusion, workforce development and more  stringent
62    environmental and greenhouse gas reduction goals; and
63
64           WHEREAS,  there  is  a  significant need  for oversight of unprecedented  levels  of
65    construction  and  operational  changes  occurring  at-the  airport  and.  seaport,  as  well  as
66    development  surrounding  Port  properties .which  increase  pressures  for  commercial
67    development on industrial lands; and

69           WHEREAS,  the  current  compensation  for  a  Seattle  Port  Commissioner  is  not
70    commensurate with the breadth and complexity of the operations of the Port of Seattle, nor
71    the substantial year-round commitment. of time and effort required to fulfill the duties of the
72    office which is exacerbated by significant rising cost of living in King County; and

74           WHEREAS, Port Commissioners.are not eligible for the Public Employee Retirement
75    System and per diem is set by the Washington state legislature; and
76
77           WHEREAS, as of Juy 1, 2019, port commissioner salaries, not including per diem or
78    other allowable reimbursements, is $52,766 and will be increased to $56,881 on July 1, 2020
79    as determined by the Washington Citizen's Commission on Salaries for Elected Officials for
80    members of the State legislature on which Resolution 3678 based Port Commissioner salaries;
81    and

83            NOW, THEREFORE, BE IT RESOLVED by the Port Commission of the Port of Seattle as
84    follows:

38    Resolution No. 3678, adopted March 12, 2013, is hereby repealed.

92    As provided by RCW 53.12.260(3), which allows a port commission to set the compensation to
93    be paid to commissioners, Port of Seattle Commissioners shall be paid twice the salary of
94    members of the Legislature of the State of Washington pursuant to RCW 43.03.013.

98    This change in salary shall not enter into effect until each commissioner currently in office shall
99    be re-elected to another term of office. Any commissioner. appointed to the Port of Seattle
100    Commission shall not be eligible for this salary increase until after being elected to the position
101    of Port of Seattle Commissioner.

105    Any additional changes in the salary for members of the Legislature of.the State of Washington
106    as determined by the Washington Citizen's Commission on Salaries for Elected Officials, or any
107    other changes adopted by statute, shall apply.to Seattle Port Commissioners.

111    As provided by RCW 53.12:265;:a Port of Seattle Commissioner may.waive all or any portion of
112    the compensation payable under RCW 53.12.260 by filing a written waiver with the Secretary of
113    the Port of Seattle' Commission. In accordance with commission bylaws, such waiver shall
114    become a public record held. by the Port of Seattle Commission Clerk.
